Provide comprehensive legal services, including contract negotiations for the acquisition and sale of single assets, portfolios and equity positions in real estate ventures.
Handle all aspects of drafting and negotiating national, regional and small-shop leases for malls, big-box power centers and grocery anchored shopping centers, as well as ground leases for outparcel and single user tenants.
Structure the terms, negotiate the loan documents, and handle the closings for acquisition loans, construction loans, permanent loans and mezzanine loans.
Prepare property management agreements and provide legal advice on operational issues such as lease assignments, subleases, landlord subordination agreements, franchisor recognition agreements and landlord-tenant disputes.
Construction and Design
Prepare and negotiate construction agreements and architect agreements. Provide legal counsel on issues and disputes that may arise during the construction process.
Assist with necessary governmental approvals, permits, entitlements, including the review of easements, declarations, plats and similar instruments.
Structure and provide on-going advice on a variety of investment vehicles. Draft and negotiate joint venture agreements.
Perform extensive analysis and evaluation of existing leases and contracts, title and survey matters, environmental conditions, land use issues and a variety of other due diligence matters.
Examine title insurance commitments and underlying instruments, as well as clear title matters and evaluate title insurance risks. We also serve as agent for First American Title Insurance Company in the State of Florida.
